Amazon FBA acquisitions are the most common deal we finance for first-time buyers. The cash-flow profile is clean, the data room is rich (Seller Central exports leave little to imagine), and the operating motion — sourcing, listings, ads, inventory — fits SBA 7(a) underwriting almost perfectly when the buyer profile lines up.
The catch is platform risk. Lenders who have never closed an FBA deal price platform concentration as if it were credit risk. We don't. We have closed enough FBA acquisitions to know which questions actually matter (account health history, ASIN concentration, supplier defensibility) and which are noise (raw review count, BSR fluctuations within a normal band).
Most FBA deals route to SBA 7(a) for the leverage advantage — up to 90% of purchase price, lowest cost in the market, multi-month close. Deals over $5M, deals with foreign buyers, or deals where the seller's exclusivity window is too tight for SBA route to Flex instead — institutional or private credit, no PG on most structures, and a faster close.
The credit memo on an FBA deal sits on five pillars, and the order matters:
1. Trailing-twelve SDE, normalized. We strip out one-time PPC bursts, owner-paid agencies that won't carry over, and inventory write-downs from product transitions. Add back the actual labor cost of replacing the seller. Underwriting wants to see a defensible run-rate, not a peak.
2. Cash conversion and working-capital ramp. FBA's working-capital cycle is brutal: pay suppliers 30 days before goods ship, sit on inventory 60–90 days, get paid by Amazon two weeks after sale. New owners need a working-capital facility on day one to keep replenishment moving. We size the SBA loan or Flex facility to cover the gap.
3. Account health and operating history. Seller Central account health metrics, suspension history, and IP complaint logs are pulled in diligence. A clean two-year window is the bar; one resolved suspension is fine if the SOP fix is documented.
4. Brand defensibility. Brand Registry status, trademark coverage by jurisdiction, design patents on packaging, and any pending IP filings. Lenders treat brand registration as a meaningful moat against listing hijackers — it changes the pricing on platform-risk concentration.
5. Buyer operating fit. SBA 7(a) is for owner-operators. We want to see a buyer who can credibly run an FBA business from day one — prior ecommerce ops, an interim operator commitment from the seller, or a clear succession plan with documented SOPs. Passive holdco buyers route to Flex.

Diligence on an FBA acquisition runs in parallel with the underwriting credit memo. Six things we always confirm before submitting to credit committee:
ASIN concentration: top three ASINs as a share of TTM revenue. Above 70% on a single ASIN, we structure a working-capital reserve and document the SKU diversification plan in the operating thesis.
Supplier concentration: single-supplier exposure on the top SKU. We pull supplier invoices for the trailing 12, confirm payment terms, and check for any pending tariff or compliance issues. China-only sourcing on a top SKU isn't a deal-killer, but it gets priced.
BSR and review velocity: not absolute numbers — trends. A BSR drifting upward for 90+ days on a top SKU with declining review velocity gets flagged as listing fatigue.
Listing suppressions and IP complaints: any active or recently-resolved suppression on a top-10 SKU goes in the diligence memo. Same for IP complaints filed by the brand or against it.
Inventory health: IPI score, age of inventory, share of long-term storage fees, and any stranded inventory. Lenders want to see a clean inventory ledger before close.
Customer service and returns: refund rate by category and the seller's response time on customer messages. A spike in returns within the last 90 days needs an explanation; we surface it before underwriting does.
We coordinate the QoE provider, manage the data room, and write the lender memo so the credit committee doesn't see a fire drill.
Representative deal: an FBA brand in a single category, four years operating, three flagship SKUs and roughly 40 supporting variants. The seller's exclusivity window was 60 days. We routed to SBA 7(a) for the leverage and the long-term cost advantage.
The buyer was a US citizen, ex-corporate ecommerce operator, with prior P&L experience but no FBA background. We documented a 90-day transition plan with the seller as a paid consultant for the first quarter, plus a virtual assistant team handover. That fit SBA's owner-operator requirement cleanly.
The credit memo highlighted three things the lender's committee would otherwise have flagged: ASIN concentration on the top SKU (we built a 12-month diversification plan into the operating thesis), supplier concentration in Guangdong (we documented two qualified backup suppliers in Vietnam), and the working-capital ramp (we sized the loan to cover one full inventory replenishment cycle plus a six-week buffer).
Approval came back on the first pass. The buyer's equity injection was 10% on a deal in the mid-seven-figures, with 5% of that as a seller note on full standby for the life of the loan. Total time from prequal to wire was within the standard SBA 7(a) close window for owner-operator deals.
The lesson: lenders don't reject FBA deals because of platform risk. They reject them because the credit memo doesn't address platform risk. We write the memo so the committee has the answer before they ask the question.
Can you get an SBA loan to buy an Amazon FBA business?
Yes. SBA 7(a) is the most common financing path we use for FBA acquisitions under $5M loan need. The buyer must be a US citizen, must intend to operate full-time, and must show 10% equity injection (5% can be a seller note on full standby). Account health, brand registry status, and ASIN concentration are diligence items we cover in the credit memo before submission.
How do lenders assess Amazon platform risk?
Three signals. First, account health history: any suspensions, IP complaints, or listing-policy violations in the past 24 months. Second, ASIN concentration: how much of TTM revenue rides on the top three SKUs. Third, brand defensibility: Brand Registry status, trademarks, and packaging design. Lenders who have closed FBA deals before know how to price these; lenders who haven't over-reserve. We work with the network that actually understands the channel.
How much down payment do I need for an FBA business acquisition?
On SBA 7(a), 10% minimum. Up to half of that (5% of the purchase price) can come from a seller note on full standby for the full term of the SBA loan. So in practice, buyer cash at close is often 5% of the purchase price plus closing costs and working capital. On Flex, the equity check varies by structure and deal size.
How does the Amazon seller account transfer work in an FBA acquisition?
Seller Central accounts cannot be transferred directly. The standard structure is an asset purchase: the buyer creates a new entity, opens a new Seller Central account in that entity's name, and migrates listings, inventory, and brand registry. The seller stays on the original account through the transition window (typically 30–90 days post-close) to handle existing orders, returns, and customer service while the new account ramps. We coordinate the migration plan with counsel so the close documents reflect the actual operational handoff.
Can I include working capital in the SBA loan?
Yes. SBA 7(a) explicitly allows working capital as a use of proceeds, and on FBA deals we always size for it. The working-capital sub-amount covers one inventory replenishment cycle (60–90 days), Amazon FBA storage and fee reserves, and a buffer for the IPI ramp under new ownership. Sizing the loan correctly here is the single biggest difference between an FBA deal that closes smoothly and one that runs out of cash 90 days post-close.
What if my deal is over $5M? Can I still get SBA financing?
SBA 7(a) caps at $5M loan size. Deals where the buyer needs more than that route to Flex — senior or unitranche debt from institutional and private credit lenders, typically up to $10M.
